In North Carolina, certain licensed professionals who wish to obtain limited
liability must form specialized business entities known as professional associations
("P.A."), professional corporations ("P.C.") or professional
limited liability companies. ("P.L.L.C."). Forming these entities
requires obtaining certifications from the licensing board of these professions
before filing the entity formation documents with the North Carolina Secretary
of State. The professionals subject to the professional corporation statute
are: architects, attorneys, accountants, physicians, dentistry, optometry, osteopathy,
chiropractic, nursing, veterinarians, podiatrists, psychologists, occupational
therapists, professional counselors, engineers and land surveyors, landscape
architects, social workers, geologists and foresters. We help physicians, dentists,
veterinarians, attorneys and other professional service providers organize themselves
so that they can achieve stability and financial independence, while providing
optimum care to their patients or clients. We understand the terminology that
physicians use and the business environment in which they operate. We advise
on the business, financial, tax, and employee issues that any professional enterprise
confronts. We are experienced in structuring ventures between doctors and non-M.D.
staff, hiring independent contract physicians, bringing in new partners and
selling of medical/professional practices.
